This note covers the steps in the transaction once heads of agreement (sometimes called ‘heads of terms’) have been signed. Many people selling their business assume, quite wrongly, that as soon as the heads of agreement are signed all the hard work is done. This is not the case and the period from signing heads of agreement to completion can place very heavy burdens on the owner of the business who, it should not be forgotten, has to continue to run his or her business during this period. Typically, the period from signing heads of agreement to completion will be six to eight weeks, although this can be much more or less in any particular case.
