Good news for those involved in the management of companies or limited liability partnerships (LLPs)

The Registrar of Companies (Companies House) introduced a "second filling" service on 6 April 2011 that enables companies and LLPs to submit a "second form" to correct inaccuracies in documents filed on or after 1 October 2009. The "second filling" service is only available to certain types of documents filed by companies and LLPs including, amongst other things, the appointment or termination of directors and/or secretaries and annual returns.

 

There is no fee payable when filing a "second form", but it must be accompanied by either a form RP04 (for companies) or a form LL RP04 (for LLPs).

 

This is good news for those involved in the management of companies or LLPs who will know what a nightmare it can be if forms are submitted incorrectly. If the "second form" is registered the company or LLP details will be corrected and anyone searching the public register will be able to see the corrected filing. However, the inaccurate original form will still remain on the public register indefinitely or until a successful application for its removal is made either by court order or by application to Companies House.
